Artikel 324 Boek 2 BW:

Deze afdeling is van toepassing, indien een naamloze of besloten vennootschap fuseert.


Artikel 334 Boek 2 BW:

1. De akte van fusie kan bepalen dat de aandeelhouders van de verdwijnende vennootschappen aandeelhouder worden van een groepsmaatschappij van de verkrijgende vennootschap. Zij worden dan geen aandeelhouder van de verkrijgende vennootschap.
2. Zulk een fusie is slechts mogelijk, indien de groepsmaatschappij alleen of samen met een andere groepsmaatschappij het gehele geplaatste kapitaal van de verkrijgende vennootschap verschaft. De artikelen 317, leden 1 tot en met 4, 330 en 331 zijn op het besluit van de groepsmaatschappij van overeenkomstige toepassing.
3. De groepsmaatschappij die de aandelen toekent geldt naast de verkrijgende vennootschap als fuserende rechtspersoon. Op haar rusten de verplichtingen die ingevolge de artikelen 312-329 op een verkrijgende vennootschap rusten, met uitzondering van de verplichtingen uit de artikelen 316, 317, 318 lid 4, 321 lid 2 en lid 4, 323, lid 7; voor de toepassing van artikel 328 lid 3 blijft zij buiten beschouwing. De artikelen 312 lid 2 onder b, 320, 325 lid 3 en 326 lid 1 onder b gelden alsdan niet voor de verkrijgende vennootschap.
